Terms of Service

These Terms govern your access to and use of Gremlin Labs and explain the rights and responsibilities of both you and Gremlin Labs.

These Terms of Service ("Terms") govern your access to and use of the websites, applications, software, products, services, and AI-powered tools provided by Gremlin Labs LLC ("Gremlin Labs," "Company," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility

You may use the Services only if:

  • You are at least eighteen (18) years old;
  • You are legally capable of entering into a binding agreement;
  • Your use of the Services complies with all applicable laws and regulations.

By creating an account or using the Services, you represent and warrant that you satisfy these requirements. If Gremlin Labs becomes aware that a user does not meet these requirements, we may suspend or terminate access immediately.

2. Description of Services

Gremlin Labs provides AI-powered software tools designed to assist users with organizing information, generating materials, analyzing content, creating business resources, and other productivity-related functions. The Services may include:

  • Knowledge extraction tools;
  • Onboarding and training tools;
  • AI-generated content generation;
  • Document analysis;
  • Workflow assistance;
  • Future products, features, or functionality introduced by Gremlin Labs.

The Services are continuously evolving. We may modify, suspend, discontinue, replace, or remove any feature at any time without liability. Nothing in these Terms obligates Gremlin Labs to maintain any particular feature or functionality.

3. Account Registration

Certain features require an account. When creating an account, you agree to:

  • Provide accurate and current information;
  • Maintain the accuracy of your information;
  • Keep your login credentials secure;
  • Notify us promptly of unauthorized access;
  • Accept responsibility for all activity occurring under your account.

You may not:

  • Share accounts with others;
  • Transfer accounts without permission;
  • Create accounts using false identities;
  • Circumvent account restrictions.

Gremlin Labs may suspend, restrict, or terminate accounts that violate these Terms.

4. User Content

"User Content" means any information, files, documents, prompts, text, images, videos, training materials, business records, data, or other content submitted through the Services. Examples include:

  • SOPs;
  • Employee onboarding materials;
  • Internal documentation;
  • Training content;
  • Uploaded files;
  • Prompts and instructions.

Ownership

You retain ownership of all User Content. Nothing in these Terms transfers ownership of User Content to Gremlin Labs.

License to Gremlin Labs

To provide the Services, you grant Gremlin Labs a limited, non-exclusive, worldwide, royalty-free license to host, store, process, analyze, display, reproduce, and transmit your User Content solely as necessary to operate, maintain, secure, improve, and provide the Services.

This license ends when your User Content is deleted from our systems, except where retention is required by law or backup processes.

5. AI-Generated Outputs

The Services may generate content, materials, analyses, recommendations, documents, checklists, blueprints, reports, and other outputs ("Outputs").

Ownership of Outputs

To the extent Gremlin Labs possesses any ownership interest in Outputs generated specifically through your use of the Services, Gremlin Labs hereby assigns such rights to you, subject to applicable law, third-party rights, and these Terms.

Nothing in this section guarantees that Outputs are protectable under copyright, patent, trademark, or other intellectual property laws. You are solely responsible for determining whether Outputs are suitable for your intended use.

Similar Outputs

Because artificial intelligence systems may generate similar content for different users, Gremlin Labs does not guarantee that Outputs generated for you will be unique.

6. Artificial Intelligence Limitations

The Services utilize artificial intelligence technologies that may produce inaccurate, incomplete, misleading, biased, outdated, or fabricated information. You acknowledge that:

  • AI does not think or reason like a human;
  • Outputs may contain errors;
  • Outputs may contain inaccuracies;
  • Outputs may omit important information;
  • Outputs require human review.

Gremlin Labs does not guarantee:

  • Accuracy;
  • Reliability;
  • Completeness;
  • Fitness for a particular purpose;
  • Legal compliance of Outputs.

You remain solely responsible for reviewing and validating all Outputs before relying upon them.

7. Human Responsibility

Gremlin Labs is designed to assist decision-making, not replace human judgment. You agree that Outputs will not be relied upon as the sole basis for decisions involving:

  • Employment;
  • Hiring;
  • Promotion;
  • Compensation;
  • Discipline;
  • Termination;
  • Housing;
  • Lending;
  • Medical decisions;
  • Legal decisions;
  • Financial decisions;
  • Any other high-impact decision affecting an individual.

Qualified human review should always occur before such decisions are made.

8. AI Training and Service Improvement

Gremlin Labs may use aggregated, anonymized, and de-identified information to improve Services, prompts, workflows, analytics, and platform functionality, and to develop future products.

Gremlin Labs will not intentionally use customer-identifiable content, personally identifiable information, or confidential customer information for model training without authorization. Gremlin Labs may offer future mechanisms allowing certain customers to opt out of specific service-improvement activities.

9. Acceptable Use

You agree to comply with our Acceptable Use Policy. You may not use the Services to:

  • Violate laws;
  • Infringe intellectual property rights;
  • Harass others;
  • Distribute malware;
  • Conduct fraud;
  • Generate deceptive content;
  • Circumvent platform protections;
  • Train competing AI systems using the Services.

Violations may result in immediate suspension or termination.

10. Fees, Billing, and Payments

Certain Services require payment. Payments may be processed through Paddle and its authorized payment partners. By purchasing paid Services, you authorize recurring charges associated with your subscription plan. Subscriptions automatically renew unless cancelled before the renewal date.

You are responsible for:

  • Applicable taxes;
  • Payment method accuracy;
  • Maintaining valid billing information.

Failure to pay may result in suspension or termination of access. Refund eligibility is governed exclusively by the Refund Policy.

11. Credits and Virtual Balances

Gremlin Labs may offer credits, usage balances, promotional credits, bonus credits, or similar virtual items ("Credits") that may be used to access certain features of the Services. Unless otherwise stated:

  • Credits have no cash value.
  • Credits are non-transferable.
  • Credits may not be redeemed for money.
  • Credits may not be sold or exchanged.
  • Credits do not constitute personal property.

Gremlin Labs reserves the right to modify, suspend, discontinue, expire, or revoke Credits at any time. Unused Credits may be forfeited upon account termination unless otherwise required by law.

12. Beta Features

Gremlin Labs may provide beta, preview, experimental, early-access, or test features ("Beta Features"). Beta Features:

  • May be incomplete;
  • May contain bugs or errors;
  • May experience interruptions;
  • May produce unexpected results;
  • May be modified or discontinued at any time.

Beta Features are provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. Your use of Beta Features is entirely at your own risk.

13. Intellectual Property Rights

Gremlin Labs Property

The Services, including all software, designs, interfaces, trademarks, branding, logos, workflows, prompts, functionality, and related intellectual property, are owned by Gremlin Labs LLC or its licensors. These Terms do not transfer ownership of any Gremlin Labs intellectual property to you.

Except as expressly permitted, you may not copy, modify, reverse engineer, decompile, distribute, license, or resell any portion of the Services.

Feedback

If you provide suggestions, feedback, feature requests, or recommendations, you grant Gremlin Labs a perpetual, irrevocable, royalty-free right to use such feedback without restriction or compensation.

14. Third-Party Services

The Services may utilize third-party providers, including but not limited to:

  • OpenAI
  • Anthropic
  • Supabase
  • Paddle
  • Google

and other vendors necessary to operate the Services. Gremlin Labs is not responsible for:

  • Third-party availability;
  • Third-party outages;
  • Third-party policies;
  • Third-party security incidents;
  • Third-party service interruptions.

Your use of third-party services may also be governed by their respective terms and policies.

15. Service Availability

Gremlin Labs strives to provide reliable Services but does not guarantee:

  • Continuous availability;
  • Uninterrupted operation;
  • Error-free functionality;
  • Specific response times;
  • Specific uptime levels.

The Services may be unavailable due to maintenance, updates, security events, vendor outages, or circumstances beyond our control. No service-level agreement applies unless expressly agreed in writing.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GREMLIN LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

GREMLIN LABS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GREMLIN LABS SHALL NOT BE LIABLE FOR:

  • Indirect damages;
  • Incidental damages;
  • Special damages;
  • Consequential damages;
  • Exemplary damages;
  • Lost profits;
  • Lost revenue;
  • Lost business opportunities;
  • Loss of data.

IN NO EVENT SHALL GREMLIN LABS' TOTAL LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO GREMLIN LABS DURING THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100). These limitations apply regardless of legal theory.

18. Indemnification

You agree to indemnify, defend, and hold harmless Gremlin Labs, its officers, directors, employees, contractors, affiliates, and agents from any claims, damages, liabilities, losses, judgments, settlements, costs, and expenses arising from:

  • Your use of the Services;
  • Your User Content;
  • Your Outputs;
  • Your violation of these Terms;
  • Your violation of law;
  • Your infringement of third-party rights.

This obligation includes reasonable attorneys' fees and legal costs.

19. Suspension and Termination

Gremlin Labs may suspend, restrict, disable, or terminate your access at any time if:

  • You violate these Terms;
  • You violate the Acceptable Use Policy;
  • We reasonably suspect abuse or fraud;
  • We believe continued access creates risk.

Termination may occur with or without notice. Termination does not entitle you to a refund except where required by law or expressly provided in the Refund Policy.

20. Effect of Termination

Upon termination:

  • Access rights immediately cease;
  • Licenses granted under these Terms terminate;
  • Your account may be disabled;
  • Your content may be scheduled for deletion according to our Data Retention Policy.

Certain provisions survive termination, including Intellectual Property, Disclaimers, Liability Limitations, Indemnification, Arbitration, and Governing Law.

21. Governing Law

These Terms shall be governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles.

22. Arbitration

Except where prohibited by law, disputes arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA"). Arbitration shall occur in Michigan. The arbitrator's decision shall be final and binding.

Nothing in this section prevents either party from seeking temporary injunctive relief to protect intellectual property rights or confidential information.

23. Class Action Waiver

To the maximum extent permitted by law, you agree that disputes shall be brought solely in your individual capacity. You waive any right to:

  • Participate in class actions;
  • Participate in collective actions;
  • Act as a class representative;
  • Participate in representative proceedings.

24. Changes to These Terms

Gremlin Labs may update these Terms periodically. Material changes may be communicated through:

  • Website notices;
  • Email notifications;
  • In-product notifications.

Continued use of the Services following updated Terms constitutes acceptance of the revised Terms.
